END USER LICENSE AGREEMENT
CORE SAFETY SOFTWARE
DISCRIPTION OF LICENSE
This License is a legally binding agreement between the End User (“YOU”) and Core Safety, LLC (“CSS”), governing the terms and conditions of your use of Core Safety Software. The terms of this license may be supplemented by the terms of other agreements between You and CSS.
DESCRIPTION OF SOFTWARE
Core Safety Software is licensed as a single product. Its component parts may not be separated and used on different computers. This License does not extend to earlier versions. However, may include upgrades and later versions that may be created and provided by CSS.
GRANT OF LICENSE
CSS grants You a license to install and use one copy of CSS on a single desktop & iPad. If You purchase a multi-user package license agreement, You may use one copy up to the total licenses purchased on a single desktop & iPad.
CONDITIONS OF USE
Your license is conditioned, and will only become effective, upon your payment to CSS based on the license fee as provided by CSS and accepted by You. Your rights under this License include only the right to install and use Core Safety Software as provided herein:
a. You are not permitted to make additional copies of the Software / Program.
b. You may not disassemble or reverse engineer any portion of the Software / Program.
c. You are not permitted to resell Core Safety Software.
d. You are not permitted to consign, rent, lease, or lend the software / Program to others.
e. You are not permitted to modify any portion of the software / Program, except pursuant to authorized customization and data entry permitted through the use of the modules delivered with and included in the Software / Program.
MAINTENANCE, SUPPORT AND UPGRADES
CSS will provide maintenance, support and periodic upgrades for Core Safety Software at its own discretion only and shall be in a commercially reasonable manner.
RIGHT TO TERMINATE
CSS may terminate this License if You should fail to comply with any term of the License agreement, including your failure to pay any portion of payment due. Termination will take place 10 days following your receipt of written (email) notice of a breach unless you have cured any such breach within that time.
TRADE SECRETS
Core Safety Software is a confidential and proprietary software / Program, and contains trade secrets, including but not limited to display screens, program organization and operation, and internal reports. You agree to take reasonable steps to protect such trade secrets from disclosure, and to limit access to Core Safety Software, including but not limited to display screens, program organization and operation, and internal reports, only to employees and others who have been informed that Core Safety Software / Program contains trade secrets, and who have agreed to maintain the confidentiality of such trade secrets.
GOVERNING LAW
This License shall be interpreted and enforced pursuant to the copyright laws of the United States and the laws of the State of Florida.
LIMITED WARRANTY
Core Safety, LLC (“CSS”) warrants that Core Safety Software will perform substantially in accordance with the written materials accompanying the program and that any support services provided by CSS shall be in a commercially reasonable manner. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NO OTHER WARRANTIES EITHER EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, ARE DISCLAIMED.
LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PROVIDED BY APPLICABLE LAW, CORE SAFETY LLC (“CSS”) SHALL NOT BE LIABLE FOR ANY SPECIAL, CONSEQUENTIAL, INDIRECT, OR INCIDENTAL DAMAGES WHATSOEVER (INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE CSS, CORE SAFETY SOFTWARE. ADDITIONALLY, IT IS AGREED THAT CSS, CORE SAFETY SOFTWARE IS INTENTED TO BE USED AS A DATABASE AND AS A SUPPORTIVE TOOL ONLY. IT IS 100% THE RESPONSIBILITY OF YOU, YOUR BUSINESS, TO PROVIDE THE APPROPRIATE SAFETY TRAINING NECESSARY TO COMPLY WITH YOU, YOUR BUSINESS INDUSTRIES RULES AND REGULATIONS. IT IS FURTHER AGREED THAT YOU, YOUR BUSINESS AGREE TO INDEMNIFY, DEFEND AND HOLD CSS, CORE SAFETY LLC, CORE SAFETY SOFTWARE, OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, REPRESENTATIVES, SUCCESSORS AND ASSIGNS HARMLESS FROM AND AGAINST ANY AND ALL CLAIMS, DEMANDS, CAUSES OF ACTION, SUITS, DAMAGES, EXPENSES AND LOSSES TO WHICH MAY BECOME SUBJECT ARISING OUT OF THE USE OF OR INABILITY TO USE CSS, CORE SAFETY SOFTWARE.
